Terms of Service

1. Eligibility

You must be at least 18 years old and legally able to enter into binding contracts. By using the Platform you represent that you meet these requirements and that all account information you provide is accurate.

2. Accounts

You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify us immediately of any unauthorized use. We may suspend or terminate accounts that violate these Terms.

By applying to or creating an account on the Platform, you agree to receive emails from us relating to your application, briefs, payments, and Platform updates, as well as promotional communications. You may opt out of promotional emails at any time via the unsubscribe link; transactional emails (application status, briefs, payments) will continue while your account is active.

3. Content Submissions

3.1 Briefs. Content is submitted in response to briefs assigned through the Platform. Briefs may specify format, deliverables, deadlines, and disclosure requirements.

3.2 Ownership. You retain ownership of Content you create, subject to the license granted below.

3.3 License grant. Upon submission and acceptance of Content, you grant Lucky Fours a worldwide, perpetual, irrevocable, royalty-free (except for compensation agreed in the applicable brief or creator agreement), sublicensable, transferable license to use, reproduce, modify, adapt, edit, publish, distribute, publicly display, and create derivative works from the Content, in whole or in part, in any media now known or later developed - including paid advertising (Meta, Snapchat, TikTok, Google, and other platforms), organic social, email, website, and marketplace listings.

3.4 Name and likeness. You grant Lucky Fours the right to use your name, image, voice, and likeness as they appear in submitted Content for the purposes described above.

3.5 Moral rights. To the maximum extent permitted by law, you waive (or agree not to assert) any moral rights in the Content against Lucky Fours or its licensees.

4. Creator Representations and Warranties

You represent and warrant that: (a) the Content is your original work and does not infringe any third party's intellectual property, privacy, or publicity rights; (b) you have obtained written consent from any identifiable individuals appearing in the Content; (c) the Content contains no music, footage, logos, or other material you are not licensed to include; (d) any claims about Lucky Fours products in the Content are limited to those provided or approved in the brief; (e) you will comply with all applicable advertising disclosure laws (including FTC Guides, ASA rules, or local equivalents), including clear disclosure of the paid partnership where required.

5. Compensation

Compensation, if any, is payable only where expressly agreed in writing in the applicable brief, campaign agreement, or agency arrangement. Submitting Content does not by itself entitle you to compensation, and nothing in these Terms constitutes a promise or guarantee of payment. Where compensation is agreed, payment timing and method are as stated in that agreement. You are responsible for your own taxes.

6. Rejections and Revisions

We may request revisions or reject Content at our sole discretion, including Content that does not meet the brief, contains prohibited material, or fails quality standards. Rejected Content is not licensed to us and no compensation is owed for it.

7. Prohibited Conduct

You must not: submit Content that is unlawful, defamatory, misleading, hateful, or sexually explicit; misrepresent material facts about products; use the Platform to infringe others' rights; attempt to access other users' accounts or non-public areas of the Platform; or use automated means to scrape or disrupt the Platform.

8. Intellectual Property of Lucky Fours

The Platform, our trademarks, product imagery, briefs, and materials we provide remain our property. We grant you a limited, revocable license to use provided materials solely to create Content under an assigned brief.

9. Confidentiality

Briefs, unreleased products, pricing, performance data, and other non-public information disclosed to you are confidential. You must not disclose or use them except to perform under these Terms. Do not publish Content publicly before the release date specified in the brief, if any.

10. Independent Contractor

You are an independent contractor. Nothing in these Terms creates an employment, agency, or partnership relationship.

11. Termination

Either party may terminate the account relationship at any time. Sections 3 (license), 4, 5 (accrued amounts), 9, 12, and 13 survive termination. Licenses to accepted Content survive termination.

12. Disclaimers and Limitation of Liability

The Platform is provided "as is" without warranties of any kind. To the maximum extent permitted by law, our aggregate liability arising out of these Terms will not exceed the greater of (a) amounts actually paid to you under an agreed brief in the 12 months preceding the claim, or (b) USD 100. Neither party is liable for indirect, incidental, or consequential damages.

13. Indemnification

You will indemnify and hold Lucky Fours harmless from claims arising out of your breach of the representations in Section 4 or your violation of applicable law.

14. Governing Law and Disputes

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, excluding conflict-of-law rules. Disputes will be resolved exclusively in the courts located in Ontario, Canada, and you consent to their jurisdiction, unless mandatory local law provides otherwise.

15. Changes

We may update these Terms by posting a revised version on the Platform. Continued use after the effective date constitutes acceptance. Material changes affecting already-accepted Content will not apply retroactively without your consent.
